Master Software as a Service Agreement

This Master Software as a Service Agreement (“Agreement”) is entered into between Prescribe
Life Global Health Limited, a company registered in England and Wales (“PrescribeLife.AI”), and
the customer identified in the applicable Subscription Confirmation (“Customer”).
This Agreement governs Customer’s access to and use of the PrescribeLife.AI platform (the
“Platform”). By completing the subscription setup process and accepting these terms, Customer
agrees to be bound by this Agreement.

KEY DEFINITIONS

“Subscription Confirmation” means the email issued by PrescribeLife.AI to Customer confirming
the commercial terms of the subscription, including fees, billing dates, subscription tier, and
applicable cancellation rights. The Subscription Confirmation forms part of this Agreement and,
in the event of any conflict between the Subscription Confirmation and this Agreement, the
Subscription Confirmation shall prevail solely with respect to the commercial terms set out
therein.
“Platform” means the PrescribeLife.AI software application and associated services made
available to Customer under this Agreement.
“Customer Data” means all data uploaded to or generated through the Platform by Customer or
its clients.
“Term” means the twelve (12) month Initial Term commencing on the Billing Start Date, and any
Renewal Term thereafter, as governed by clause 4.1.

1. LICENCE AND SCOPE OF SERVICES

1.1 Grant of Licence
Subject to the terms of this Agreement and the applicable Subscription Confirmation,
PrescribeLife.AI grants Customer a non-exclusive, non-transferable, revocable licence to
access and use the Platform during the Term solely for Customer’s internal business purposes
in connection with delivering coaching or advisory services to its clients.
1.2 Platform Access
The Platform shall include the services specified in the applicable Subscription Confirmation.
PrescribeLife.AI may update, enhance, improve, or modify the Platform from time to time. Such
updates shall not materially reduce core functionality during an active subscription term.
1.3 Restrictions
Customer shall not:
– Reverse engineer, decompile, or copy the Platform
– License, resell, sublicense, or commercially exploit the Platform outside its own coaching
services
– Remove or alter any proprietary notices
– Use the Platform in violation of applicable law
All intellectual property rights in and to the Platform remain the exclusive property of
PrescribeLife.AI.

2. SUBSCRIPTION, FEES AND PAYMENT

2.1 Commercial Terms
Subscription tier, fees, and billing start date are as specified in the Subscription Confirmation
email issued by PrescribeLife.AI to Customer at the time of purchase.
2.2 Payment Terms
Unless otherwise stated in the Subscription Confirmation, subscription fees are payable monthly
in advance. PrescribeLife.AI may invoice electronically or process payment via approved
electronic payment methods including Stripe.
2.3 Late Payment
If payment is not received when due, PrescribeLife.AI may suspend access to the Platform upon
reasonable notice until payment is made.
2.4 Taxes
Fees are exclusive of VAT and other applicable taxes. Customer is responsible for all applicable
taxes arising from this Agreement.

3. DATA PROTECTION, CONFIDENTIALITY AND COMPLIANCE

3.1 Customer Data Ownership
Customer retains all rights, title, and interest in and to all Customer Data.
PrescribeLife.AI does not sell, trade, or commercially exploit Customer Data. Customer Data will
not be shared with third parties except as required to provide the Platform or as required by law.
PrescribeLife.AI may use anonymised and aggregated data, from which all personally
identifiable information has been removed, solely for the purposes of product improvement,
analytics, and platform development.
3.2 Data Security
PrescribeLife.AI shall implement and maintain appropriate technical and organisational
measures designed to protect Customer Data against unauthorised access, disclosure,
alteration, or destruction. Such measures shall include industry-standard safeguards
appropriate to the nature of the data processed and the size and stage of the business.
3.3 Confidentiality
Each party agrees to maintain the confidentiality of any non-public business, technical, or
commercial information disclosed by the other party and shall not disclose such information to
any third party except as required to perform its obligations under this Agreement.
3.4 No Medical Advice
The Platform provides performance and wellbeing insights for informational purposes only. It
does not constitute medical advice, diagnosis, or treatment. Customer is solely responsible for
how it interprets and uses insights generated by the Platform.

4. TERM AND TERMINATION
────────────────────────
4.1 Term
The subscription term shall commence on the Billing Start Date specified in the Subscription
Confirmation and shall continue for an Initial Term of twelve (12) months. Upon expiry of the
Initial Term, the subscription shall automatically renew for successive twelve (12) month periods
unless either party provides written notice of non-renewal no less than thirty (30) days prior to
the end of the then-current term.
4.2 Early Termination
Any early termination rights shall be as specified in the Subscription Confirmation issued to
Customer at the time of purchase.
4.3 Effect of Termination
Upon termination:
– Customer’s access to the Platform shall cease
– Customer may request export of its Customer Data within thirty (30) days of termination
– PrescribeLife.AI may securely delete Customer Data thereafter in accordance with its data
retention policies

5. WARRANTIES AND DISCLAIMERS

5.1 Authority
Each party warrants that it has full authority to enter into and perform this Agreement.
5.2 Service Warranty
PrescribeLife.AI warrants that it has the right to provide access to the Platform.
5.3 Disclaimer
Except as expressly stated in this Agreement, the Platform is provided “as is” and without
warranties of any kind, whether express or implied. PrescribeLife.AI does not warrant that:
– The Platform will be uninterrupted or error-free
– The Platform will achieve specific business, financial, performance, or health outcomes

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, PrescribeLife.AI’s total aggregate liability arising out of
or in connection with this Agreement shall not exceed the total fees paid by Customer to
PrescribeLife.AI during the twelve (12) months preceding the event giving rise to the claim.
PrescribeLife.AI shall not be liable for:
– Indirect or consequential loss
– Loss of profits or loss of business
– Loss of anticipated savings
– Loss of data (except to the extent caused by PrescribeLife.AI’s wilful misconduct)
Nothing in this Agreement shall exclude liability for death or personal injury caused by
negligence or for fraud.

7. GENERAL PROVISIONS

7.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England
and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
7.2 Entire Agreement
This Agreement, together with the applicable Subscription Confirmation, constitutes the entire
agreement between the parties and supersedes all prior agreements or understandings relating
to its subject matter.
7.3 Amendments
PrescribeLife.AI may update this Agreement from time to time. Material changes will be
communicated to active subscribers with no less than 30 days notice prior to taking effect.
Continued use of the Platform following notice of a material change constitutes acceptance. Any
amendment to commercial terms specific to a subscription requires agreement in writing by both
parties.
7.4 Assignment
Customer may not assign this Agreement without the prior written consent of PrescribeLife.AI.
PrescribeLife.AI may assign this Agreement in connection with a merger, acquisition, or sale of
all or substantially all of its assets.
7.5 Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be
limited or eliminated to the minimum extent necessary, and the remaining provisions will
continue in full force and effect.
7.6 Waiver
No failure or delay by either party in exercising any right under this Agreement shall constitute a
waiver of that right.
7.7 Notices
Notices under this Agreement shall be sent by email to the address provided at the time of
subscription. Notices to PrescribeLife.AI should be sent to the email address provided in the
Subscription Confirmation or as published on the PrescribeLife.AI website.
